class=\"pmt-clause\"><span class=\"pmt-cnum\">1.1.<\/span>PAYMONT, UAB (hereinafter, Paymont or We\/Us) is a company established and authorised under the laws of the Republic of Lithuania, with its registered address at \u0160eimyni\u0161ki\u0173 g. 19B-701, Vilnius. Paymont is holding an Electronic Money Institution license Nr. 80, which can be accessed at <a href=\"https:\/\/www.lb.lt\/en\/sfi-financial-market-participants\/paymont-uab\" target=\"_blank\" rel=\"noopener\">https:\/\/www.lb.lt\/en\/sfi-financial-market-participants\/paymont-uab<\/a>.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">1.2.<\/span>Paymont has created an API (Application Programming Interface, or \u201cthe Solution\u201d) for online platform operators allowing them to integrate a payment solution on their website or mobile application, through which Paymont can process payments between such online platform users.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">1.3.<\/span>These Terms and Conditions govern the Payment Services We provide to You. When We refer to \"You\" (or \"Your\"), we mean any person who subscribes to the Partner's services via its Platform and who uses the Payment Services to send or receive payments related to their activities on the Platform. The Services provided by Us can only be used in connection with Your activities on the Partner\u2019s Platform.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">1.4.<\/span>By opening Embedded Paymont Account You agree to comply with these Terms and Conditions, as well as with any related Specific Terms and conditions where applicable.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">1.5.<\/span>In the event that a situation is not covered by these Terms and Conditions, the General Terms and Conditions shall apply, which are available at <a href=\"https:\/\/www.paymont.eu\/lt\/general-terms\/\" target=\"_blank\" rel=\"noopener\">https:\/\/www.paymont.eu\/general-terms\/<\/a>.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">1.6.<\/span>We may amend these Terms and Conditions at any time. You will be notified of any amendments by Us or through the Partner. If amendments to the Terms and Conditions are made necessary due to legislative or regulatory provisions, they shall apply immediately. In other cases, except for amendments that do not change any of Your or our rights and obligations and are purely of technical or administrative nature, You will be informed of any amendments at least two (2) months before they come into effect and You will have the option to refuse the amendments by notifying Us of Your refusal. By continuing to use our Services through the Platform after the two-month period, it means that You acknowledge and agree to the amended version of these Terms and Conditions.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">1.7.<\/span>Where the specific nature of Partner's Platform or the operational model applied in connection with your Paymont Account requires additional or more detailed provisions, such provisions shall be set out in separate Specific Terms and Conditions. The Specific Terms form an integral part of these Terms and Conditions and shall be read together with them.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">1.8.<\/span>In the event of any conflict or inconsistency between these Terms and the Specific Terms, the Specific Terms shall prevail to the extent of such conflict, unless expressly stated otherwise.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">1.9.<\/span>You will be informed of any applicable Specific Terms prior to or at the time of opening Your Paymont Account. By opening and using Your Paymont Account, You confirm that You have read, understood, and agreed to both the General Terms and any applicable Specific Terms.<\/div>\n  <h2 id=\"pmt-s2\"><span class=\"pmt-num\">2.<\/span>Definitions<\/h2>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.1.<\/span>\u201cAML\/(CTF)\u201d means the fight against money laundering and terrorist financing.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.2.<\/span>\u201cChargeback\u201d means any transaction processed through a Payment Method that, after being disputed by the Payer, is partially or fully returned to the Payer, initiated by the issuing payment services provider of the Payment Method used to remit funds to You.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.3.<\/span>\u201cEmbedded Account\u201d means Paymont Account.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.4.<\/span>\u201cExternal Account\u201d means the external payment account(s) or external bank account(s) opened with a Third-Party PSP that You have provided to Us so that We can pay You the funds available on Your Paymont Account.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.5.<\/span>\u201cExternal Payment Method\u201d means the Payment Method offered by a Third-Party PSP to carry out a Transaction.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.6.<\/span>\u201cFee\u201d means administrative management fee of ten (10) euros per month in case We need to administer Your Paymont Account.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.7.<\/span>\u201cFree of Charge\u201d means that we do not charge any fees for Your use of our Services, except for the Fee as defined above.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.8.<\/span>\u201cIBAN\u201d means International Bank Account Number, allowing to identify a payment or bank account in the payment systems.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.9.<\/span>\u201cIdentity Data\u201d means the data that You must provide Us with in order to use our Payment Services.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.10.<\/span>\u201cInterface\u201d means the user interface made available to You on the Platform (its website and\/or mobile application).<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.11.<\/span>\u201cInternal Payment Method\u201c means the Payment Method used for Transfers between two Paymont Accounts.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.12.<\/span>\u201cLegitimate Grounds\u201d mean (i) any case where We have any reason to believe, on reasonable ground(s), that there is a risk with respect to the Operation(s) We are processing, such as, but not limited to, risk of money laundering, terrorist financing, fraud, risk of Chargeback or risk of dispute of any kind, (ii) any case where We have any reason to believe, on reasonable ground(s), that You will not meet Your obligation(s) under these Terms and Conditions, (iii) any case where You breach Your obligation(s) under these Terms and Conditions, (iv) any case where We are not able to verify Your Identity, (v) any case of dispute regarding Your Paymont Account or (vi) any case where requested by an authority and\/or mandated by law.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.13.<\/span>\u201cPartner\u201d means the entity that operates the Platform (the website and\/or mobile application) You use and that has  contracted  Us to enable payments on this Platform.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.14.<\/span>\u201cPayer\u201d means a person who makes a payment to You on the Platform using the Internal Payment Method.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.15.<\/span>\u201cPayment Method\u201d means Internal Payment Method and\/or External Payment Method.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.16.<\/span>\u201cPayment Operation\u201d means all the payment operations executed by Us as part of the Payment Services provided to You, including receiving Transactions, execution of Payouts, and execution of Transfers.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.17.<\/span>\u201cPayment Services\u201d mean all of the services associated with Your Paymont Account We provide to You as part of Your use of the Platform.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.18.<\/span>\u201cPaymont Account\u201d means Embedded Account we open for You which permits Transfers solely between other Paymont Accounts and\/or to designated External Account(s).<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.19.<\/span>\u201cPayout\u201d means the withdrawal of all or part of the funds from your Paymont Account to your External Account.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.20.<\/span>\u201cPlatform\u201d means the website or mobile application operated by the Partner through which you carry out activities or use services offered by the Partner.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.21.<\/span>\u201cPlatform Agreement\u201d means the agreement You have entered into with the Partner to use its services.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.22.<\/span>\u201cReserve\u201d means a minimum amount of funds that You may be required to hold in your Paymont Account which can be reserved by Us and which may be temporarily not available for Payout to your External Account. The amount of the Reserve may correspond (i) to a percentage of the Transactions received on your Paymont Account on a given frequency or (ii) to a lump sum.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.23.<\/span>\u201cSCA\u201d means Strong Customer Authentication that We may require You to complete, as deemed necessary by Us and\/or required by certain laws and regulations to reduce fraud risks.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.24.<\/span>\"Specific Terms\" mean any Specific Terms and Conditions attached to these Terms and Conditions, which (i) define the specific services made available to You through the Partner's Platform and approved by Us, and\/or (ii) set out the model governing the Partner's authority, if any, to interact with Your Paymont Account.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.25.<\/span>\u201cSupporting Document\u201d means any supporting document that We request from You in order to validate or verify your identity.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.26.<\/span>\u201cTerms and Conditions\u201d mean these Terms and Conditions for Paymont Accounts.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.27.<\/span>\u201cThird-Party PSP\u201c means any payment service provider, other than Us, supervised by competent authorities, registered in another European Union Member State or a state that is not a Member State of the European Union meeting the following requirements: (i) being subject to mandatory professional registration prescribed by law; (ii) being registered in the European Union Member State or a third country which imposes requirements equivalent to those established by the European Union for the identification of the customer and of the ultimate beneficial owner and storage of information and being supervised by competent authorities for compliance with those requirements.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.28.<\/span>\u201cTransaction\u201d means incoming payment, which We collect on your behalf in order to allocate the funds to You.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">2.29.<\/span>\u201cTransfer\u201d means transfer of funds initiated from your Paymont Account to another Paymont Account or received on your Paymont Account from another Paymont Account (in relation to the use of the Platform), or transfer of funds initiated from your Paymont Account to your External Account or from your External Account to your Paymont Account.<\/div>\n  <h2 id=\"pmt-s3\"><span class=\"pmt-num\">3.<\/span>Use of Payment Services of Paymont<\/h2>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">3.1.<\/span>Eligibility Conditions<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">3.1.1.<\/span>Eligibility Conditions for Natural Persons In order to use Payment Services of Paymont as a natural person acting as a consumer and not acting for professional purposes, You declare and guarantee that: \u2022 You are at least 18 years of age; \u2022 You have full legal capacity to accept these Terms and Conditions and to use Payment Services of Paymont; \u2022 You are not acting in the context of a professional activity (irrespective of the kind of professional activity); \u2022 all information and Identity Data You provided when subscribing to Partner\u00b4s Services, or provided to Us while using Payment Services of Paymont, is true, accurate and up to date; \u2022 You are registered with the Partner as acting for non-professional purposes; \u2022 You are acting in your name and on Your own behalf when using Payment Services of Paymont; \u2022 You are not acting in the context of activities prohibited by law; \u2022 You are not engaged in any activity prohibited by Us. Prohibited activities are indicated on our website under (<a href=\"https:\/\/www.paymont.eu\/lt\/prohibited-industries\/\" target=\"_blank\" rel=\"noopener\">https:\/\/www.paymont.eu\/prohibited-industries\/<\/a>).<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">3.1.2.<\/span>Eligibility Conditions for Natural Persons - Entrepreneurs In order to use Payment Services of Paymont as a natural person acting for professional purposes, You declare and guarantee that: \u2022 You are at least 18 years of age; \u2022 all information and Identity Data You provided when subscribing to Partner\u00b4s Services, or provided to Us while using Payment Services of Paymont, is true, accurate and up to date; \u2022 You carry Your professional activity in accordance with the regulations of Your country of operation and, where this regulation so requires, You are duly registered and\/or listed with the competent authorities (including tax authorities) and\/or relevant registers in a State that is a party to the agreement on the European Economic Area or in a third country imposing equivalent obligations in terms of AML\/CFT; \u2022 You are listed on the Partner's Platform as acting for professional purposes; \u2022 You are acting on Your own behalf when using Payment Services of Paymont; \u2022 You are not engaged in any activity prohibited by Us. Prohibited activities are indicated on our website under (<a href=\"https:\/\/www.paymont.eu\/lt\/prohibited-industries\/\" target=\"_blank\" rel=\"noopener\">https:\/\/www.paymont.eu\/prohibited-industries\/<\/a>).<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">3.1.3.<\/span>Eligibility Conditions for Legal Entities In order to use Payment Services of Paymont as a legal entity, You declare and guarantee that: \u2022 You are a legal representative of the legal entity and have full authority to legally bind the legal entity to these Terms and Conditions; \u2022 all information and Identity Data You provided when subscribing to Partner\u00b4s Services, or provided to Us while using Payment Services of Paymont, is true, accurate and up to date; \u2022 the legal entity is duly incorporated and is registered in a jurisdiction not prohibited by Us. The jurisdictions that we consider as prohibited are indicated on our website (<a href=\"https:\/\/www.paymont.eu\/lt\/prohibited-jurisdictions\/\" target=\"_blank\" rel=\"noopener\">https:\/\/www.paymont.eu\/prohibited-jurisdictions\/<\/a>); \u2022 the legal entity is listed on the Partner's Platform as acting professionally or, where applicable, for non-profit purposes if the legal entity has a non-profit purpose; \u2022 the legal entity is acting on its own behalf when using Payment Services of Paymont; \u2022 the legal entity does not carry out activities prohibited by law; \u2022 the legal entity is not engaged in any activity prohibited by Us. Prohibited activities are indicated on our website under (<a href=\"https:\/\/www.paymont.eu\/lt\/prohibited-industries\/\" target=\"_blank\" rel=\"noopener\">https:\/\/www.paymont.eu\/prohibited-industries\/<\/a>).<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">3.2.<\/span>Opening Paymont Account<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">3.2.1.<\/span>To open Paymont Account with Us, You must follow the registration process on the Partner\u00b4s Platform. Unless the Partner advises you differently, the Terms and Conditions are concluded remotely through the Partner's Interface and this is confirmed by an online acceptance procedure. In this regard, You must have the appropriate equipment (hardware and software), for which You are solely responsible. The date on which the Terms and Conditions are concluded corresponds to the date on which you completed the acceptance procedure on the Partner\u2019s Interface.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">3.2.2.<\/span>During the onboarding procedure, or at any time during the use of the Payment Services of Paymont, you may be required to complete a strong customer authentication procedure (SCA). Failure to complete this procedure may result in one or more of the following consequences: (i) You may be unable to complete your registration and onboard with Us; (ii) We reserve the right to take actions as outlined in Section 7; or (iii) Your access to the Payment Services of Paymont may be restricted at our discretion.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">3.3.<\/span>What We Need from You<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">3.3.1.<\/span>Applicable regulations require us to identify You and verify Your Identity in order to provide You with our Payment Services. As part of Your onboarding process, You will be required to provide Us with specific Identity Data and Supporting Documents through the Partner\u2019s Interface or directly to Us, as the case may be. This information must be correct, complete and up to date.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">3.3.2.<\/span>The list of required Identity Data and Supporting Documents is as follows: Natural Persons IDENTITY DATA SUPPORTING DOCUMENTS first name, surname, date of birth, nationality and country of residence; email address Identity document Natural Persons \u2013 Entrepreneurs IDENTITY DATA SUPPORTING DOCUMENTS company name, company email address, first name, surname, date of birth, nationality and country of residence of the legal representative Identity document of the legal representative, certificate of registration in the companies register Legal Persons IDENTITY DATA SUPPORTING DOCUMENTS company name, company email address, first name and surname, date of birth, nationality and country of residence of the legal representative. Identity document of the legal representative; articles of association of the legal entity; certificate of registration in the companies register.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">3.3.3.<\/span>We may adapt this list at any time, depending on changes in the regulations that apply to Us and changes in our internal policies and procedures. We may also request that You provide Us in regular intervals with updated Identity Data and Supporting Documents as part of our obligations to maintain up-to-date information concerning users of our Payment Services, and You are required to provide such information upon request.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">3.3.4.<\/span>We may also ask You for any other additional Supporting Documents we consider necessary for our AML\/CFT controls, and You are required to provide such information upon request. If the information provided (Identity Data and\/or Supporting Documents) is incomplete or incorrect, or if You fail to provide requested additional documentation, the provision of our Payment Services may be limited or suspended until We receive correct and up-to-date information.<\/div>\n  <h2 id=\"pmt-s4\"><span class=\"pmt-num\">4.<\/span>Your Duties and Acknowledgements Under These Terms and Conditions<\/h2>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">4.1.<\/span>For the entire duration of Your use of our Services, You agree to comply with the following conditions: \u2022 Your use of our Services is not contrary to (i) public order, (ii) morality, or (iii) applicable laws and regulations and (iv) does not infringe the rights of third parties; \u2022 You must take all reasonable steps to control and ensure the security of the devices You use to access the Platform and our Services; \u2022 if You are a legal entity, You must also ensure that only persons authorised by You can use our Services, and You are fully responsible for the use of our Services and access to the Paymont Account by anyone authorised by You in this regard, and our liability shall not be sought in this respect; \u2022 Your use of our Services is exclusively for the purpose of carrying out Transfers as specified in the Article 2.29 of these Terms and Conditions; \u2022 You agree not to use our Services for activities that are prohibited. The list of prohibited activities is available on our website (<a href=\"https:\/\/www.paymont.eu\/lt\/prohibited-industries\/\" target=\"_blank\" rel=\"noopener\">https:\/\/www.paymont.eu\/prohibited-industries\/<\/a>); \u2022 You agree not to impersonate another person or entity, falsify or conceal Your identity or age, or create a false identity; \u2022 You undertake not to infringe the titles and rights held by Us, including the \"Paymont\" trademark and logo; You also undertake not to remove or modify any indication of the \"Paymont\" trademark or any other intellectual property or property right appearing on any item supplied or made available by Us; \u2022 You agree to remain financially liable to Us for the full amount of all Chargebacks, refunds, and fines that arise from Your use of our Services.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">4.2.<\/span>In the event of a breach of these commitments, We reserve the right to take a number of measures to protect Us, at any time and at our sole discretion. In particular, We may, without notice, take the following actions: \u2022 terminate these Terms and Conditions; \u2022 restrict Your Paymont Account and\/or suspend our Services; \u2022 block Your Account; \u2022 refuse to provide You with our Services in the future, including on other Platforms; \u2022 suspend Your funds to the extent reasonably necessary and for as long as reasonably necessary; \u2022 refuse at any time any Transfer - in such case we will notify you of the refusal and reasons within the limits imposed by law.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">4.3.<\/span>We are entitled to take any private legal action to compensate for any damage suffered by Us as a result of Your breach of Your obligations under these Terms and Conditions.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">4.4.<\/span>You acknowledge that certain actions You may take using our Services are subject to the SCA Procedure, at our discretion. These verifications may be required in various situations, including but not limited to, accessing to your Paymont Account, updating Your Identity Data (including those used for SCA Procedure), registering or modifying an External Account and Executing a Payment Operation. Failure to complete the SCA Procedure may result in one or more of the following consequences: your request may be denied (such as the execution of Payment Operation) or our Services may be restricted at our discretion.<\/div>\n  <h2 id=\"pmt-s5\"><span class=\"pmt-num\">5.<\/span>Payments and Refunds<\/h2>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">5.1.<\/span>Your External Account<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.1.1.<\/span>Registration of your External Account: Funds in your Paymont Account can be paid out only to the External Account you registered with Us. You must be the holder of the External Account that you register, unless otherwise permitted by Us. You must provide the following information via the Platform\u2019s Interface: IBAN number, BIC (optional), your first name, surname, and the exact postal address in your capacity as an External Account holder. You may add or change your External Account at any time via the Platform\u2019s Interface provided You follow the procedure for the registering of the External Account which the Partner has provided on the Platform and provided you completed the SCA Procedure, where applicable.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.1.2.<\/span>Payouts to your External Account: The payment of funds into your External Account is strictly subject to compliance with the obligations to provide documents to verify Your identity, as set out in Article 3.3. We may make payments to your External Account also automatically and periodically (except where we shall require SCA). In this regard, You agree that the information relating to the frequency of payments into your External Account will be communicated directly to Us by the Partner. In some cases, You may change the payment frequency on the Platform\u2019s Interface on a one-off or permanent basis. We may block a payment if we suspect fraudulent or unlawful use of Your Account, security breach or for AML\/CFT reasons, including in the event of an asset freezing measure made against You by an administrative authority or any other reason as set out in these Terms and Conditions. If you notice that a payment is made with errors, you can notify Us through the Platform's Customer Service department of this error. If the error is attributable to Us, we will rectify the situation as soon as possible.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.1.3.<\/span>Currency of the Payouts: Payouts from your Paymont Account will in principle be paid into your External Account in the currency in which the Transactions were recorded in your Paymont Account. We recommend that you check whether any additional fees can be applied by the PSP holding the External Account in the event that the currency of Payouts from your Paymont Account is not the same as the currency of your External Account.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.1.4.<\/span>Funding your Paymont Account (Top-up): Depending on the integration of the Partner\u00b4s Platform, You may be able to perform a Top-up of your Paymont Account. A \u201cTop-up\u201d means the funds that You transfer to Your Payment Account using any allowed Payment Method. You can then use the funds to perform a Transfer to another Paymont Account of a user of the Platform. A Top-up constitutes a Transfer as per the Definitions in Art. 2.29 of these Terms and Conditions.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">5.2.<\/span>Transactions Made through External Payment Methods<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.2.1.<\/span>External Payment Methods The following provisions shall apply in the event that the Partner has integrated one or more External Payment Methods on its Platform. The External Payment Methods are made available to the Payers by the Third-Party PSP selected by the Partner, in accordance with the terms agreed between the Partner and the Third-Party PSP. Transactions are processed by the Third-Party PSP and delivered to Paymont by the Partner or directly by the Third-Party PSP. Transactions We receive on Your behalf are recorded in Your Paymont Account, provided that we have received the corresponding funds.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.2.2.<\/span>Dispute by the Payer The Payer is entitled to dispute any unauthorized or incorrectly executed Transaction with their PSP for up to thirteen (13) months from the date on which the account linked to the External Payment Method used to carry out the Transaction was debited. For any request related to disputes, contact Us through the Partner's customer service department.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.2.3.<\/span>Refunding a Transaction If you wish to refund a Payer, you can request the cancellation of a Transaction. If your refund request is initiated more than one day after the date of the receipt of the Transaction, it may only be executed if the funds we hold on Your behalf are sufficient to cover Your request.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">5.3.<\/span>Transactions Made through Paymont Payment Methods<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.3.1.<\/span>Paymont Payment Methods The following provisions shall apply in the event that the Partner has integrated one or more Paymont Payment Methods on its Platform. The Payment Methods provided by Paymont are identified as such on the Platform. Our Services allow you to receive Transactions from a Payer as part of Your activities carried out on the Platform. We collect these Transactions and record them in your Paymont Account. To carry out a Transaction, Payer can choose the Payment Method available on the Partner's Platform, under the terms We have agreed with the Partner. Our Payment Methods that are available to Payers may vary from time to time, and the availability of Payment Methods will be indicated by the Partner. This may include card payments, receipt of transfers (SEPA or international), and receipt of direct debits. Transactions we receive on your behalf are recorded in your Paymont Account, provided that we have received the funds.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.3.2.<\/span>Disputing a Transaction Depending on the Paymont Payment Method used, a Payer may be entitled to request a refund or initiate a dispute in relation to a Transaction in accordance with applicable law and\/or the rules of the relevant payment scheme or payment method. Such rights may arise, in particular, in relation to card payments and direct debit transactions, including in circumstances where the Transaction is alleged to be unauthorised, incorrectly executed, or otherwise subject to a claim under applicable scheme rules. Where a disputed Transaction results in an obligation for Paymont to refund or return funds to the Payer (thus deemed to constitute a Chargeback), whether pursuant to applicable law or payment scheme rules, Paymont shall be entitled to recover from You the full amount of such Transaction, together with any associated fees, unless and to the extent that You have successfully challenged the dispute in accordance with the applicable procedures. You acknowledge and agree that You remain financially liable for disputed Transactions, except where such liability cannot be allocated to You under mandatory provisions of applicable law. Therefore, we reserve the right to deduct the corresponding amount from your Paymont Account, including by offsetting such amount. In this case, we may proceed with the total or partial reversal of the disputed Transaction. Where applicable, we may also recover, by any means, including the Withholding Mechanism stated in section 7, the amount corresponding to the return of the funds for each Transaction in the event that You have insufficient funds in Your Paymont Account, without prejudice to our legal capacity to subrogate to Your rights in order to recover the sums due by the Payer by any other means. If a disputed Transaction can be contested by providing supporting evidence, You shall fully cooperate and provide Us through the Partner's customer service department or directly Us if so requested, with all necessary information and documents deemed necessary to handle the dispute. Such information must be submitted within the timeframe specified in the request.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.3.3.<\/span>Refunding a Transaction If you wish to refund a Payer in connection with a Transaction, you may request the total or partial cancellation of a Transaction we have received for You. Cancellation of the Transaction will only be possible if the funds corresponding to the amount to be refunded are available in Your Paymont Account. The total or partial cancellation of the Transaction will be carried out using the same Paymont Payment Method initially used by the Payer for the respective Transaction, within the limits of the rules of each Paymont Payment Method (specifically card schemes and SEPA rules), no later than ten (10) business days following receipt of the refund request. The cancellation of a Transaction may not always be possible for various reasons (such as when the refund takes place more than 11 months after the date of the Transaction to be reimbursed for Paymont Payment Methods, such as card transaction). In this case, the Transaction will be refunded to the Payer using another Payment Method.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">5.4.<\/span>Internal Transfers<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.4.1.<\/span>This section applies when you have the option (i) to use the funds available in your Paymont Account to transfer such funds to the Paymont Account of another user of the Platform, and (ii) to receive on your Paymont Account Transfers of funds initiated from the Paymont Account of another Platform user. This feature is referred to as a \u201cTransfer\u201d and is only available if the Partner or Us have specified that this option is available to You. A Transfer constitutes a Payment Operation as defined in Article 2.16. of these Terms and Conditions.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.4.2.<\/span>For transferring funds from your Paymont Account to another Paymont Account within Paymont You may use the funds available in your Paymont Account to make a payment to the Payment Account of another user of the Platform. Before initiating your payment, You must ensure that the available balance in your Paymont Account is sufficient to cover the Transfer amount. In order to effectuate a Transfer to the Paymont Account of another Platform user, you must indicate the amount, the beneficiary, and any other information requested by the Partner, if not effectuated by Platform\u00b4s algorithm, automatic matching mechanism based on approved pre-determined criteria and limits, or other technical solution. Your payment instruction is irrevocable once You have confirmed your Transfer on the Platform Interface, and will be deemed to be immediate in the absence of any indication to the contrary., if not effectuated, without Your confirmation, by Platform\u00b4s algorithm, automatic matching mechanism based on approved pre-determined criteria and limits, or other technical solution. We will carry out Your instruction as soon as possible and will record the funds in the Paymont Account of the user who is the beneficiary of the Transfer. We may refuse to carry out the Transfer if the instruction is incomplete or erroneous. We may block a Transfer from your Paymont Account to another Paymont Account if we suspect fraudulent or unlawful use of your Account, a security breach or for AML\/CFT reasons, including but not limited to asset freezing measures, sanctions or restrictions imposed against You by an administrative authority or in relation to the context of the Transfer.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.4.3.<\/span>Disputing a Transfer If you wish to dispute a payment made to the Paymont Account of another Platform user that You have not authorized or which has been carried out incorrectly, please, contact Us through the Partner's customer service department as soon as possible. Where you are a consumer, thirteen (13) month period shall apply. Where you are acting in a professional capacity, shorter contractual notification periods may apply to the extent permitted by applicable law, without prejudice to any mandatory rights you may have under applicable law. In the event of an unauthorized Transfer, we will refund the amount of the Transfer to your Payment Account without undue delay, unless we have reasonable grounds to suspect fraud and such suspicion is communicated to the relevant competent authority. You shall bear any losses relating to unauthorized Transfers where such losses result from: \u2022 fraudulent conduct attributable to You; or \u2022 gross negligence on Your part in safeguarding the security and access credentials of Your Payment Account.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.4.4.<\/span>Refunding a Transfer If you wish to refund a Transfer you received on your Paymont Account, You may request the total or partial cancellation of such Transfer received in your Account in accordance with this article. Cancellation of a Transfer will only be possible if the funds corresponding to the amount to be repaid are available in Your Paymont Account.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">5.5.<\/span>Authorizations<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.5.1.<\/span>By opening and using your Paymont Account, you may grant the Partner a certain level of authority to interact with your Paymont Account on your behalf. The specific nature, scope, and conditions of such authority depend on the operational model applied by the relevant Partner and will be set out in the applicable Specific Terms.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.5.2.<\/span>Depending on the model applied, the Partner may, for example, act as Your representative with authority to initiate and manage payments from your Paymont Account on Your behalf, or act as a technical intermediary authorised to transmit payment instructions to Us strictly in accordance with your prior instructions and within limits set by you. These are examples of possible models only and are not exhaustive. The model applicable to Your use of a specific Partner's Platform will be described in the relevant Specific Terms.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.5.3.<\/span>Regardless of the model applied, You acknowledge and agree that We will treat any payment order or payment instruction received from the Partner in relation to Your Paymont Account as if it were given directly by You, provided that such order or instruction falls within the scope of the authorisation You have granted to the Partner. We are entitled to rely on such orders or instructions without seeking further confirmation from You.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.5.4.<\/span>Regardless of the model applied, the role of the Partner is defined by the applicable Specific Terms and does not extend to binding Us to any obligations beyond those set out in these Terms and Conditions. We facilitate the technical capability for the Partner to interact with Your Paymont Account, but the legal relationship concerning the orders or instructions transmitted by the Partner is governed by the terms agreed in the Specific Terms.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.5.5.<\/span>The duration and revocability of the authorisation granted to the Partner, as well as any conditions applicable to its modifications or termination, will be set out in the applicable Specific Terms. Where the Specific Terms do not address a particular matter, the general rules under applicable payment services legislation shall apply.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.5.6.<\/span>Certain actions related to the authorisation granted to the Partner \u2013 such as its initial grant, modification, or revocation \u2013 may require Strong Customer Authentication (SCA) in accordance with applicable payment services regulations. Where the SCA applies and regarding the specific requirements or procedures for the given Partner\u2019s Platform, please refer to the applicable Specific Terms.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">5.5.7.<\/span>You authorize the Platform to transmit instructions to Us to deduct from your Paymont Account any fees agreed between You and the Partner in the Platform Agreement in connection with the services provided by the Partner. In this regard, You agree that the amounts to be deducted will be communicated to Us by the Partner. In the event of a dispute relating to the amount of the fees agreed between You and the Partner and which We have deducted, we invite You to contact Us through the Platform\u2019s customer service department. You remain entitled to request a refund under the conditions of the SEPA Direct Debit scheme.<\/div>\n  <h2 id=\"pmt-s6\"><span class=\"pmt-num\">6.<\/span>Closing the Account at Paymont<\/h2>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">6.1.<\/span>Inactivity Your Payment Account will be considered inactive if You have not initiated any action on Your Account (such as initiating a Payout, Transfer or top-up of Your Account) for a period of two (2) years since the last action and have not contacted Us within that timeframe. When the balance of Your inactive Account is positive, You will receive a notification of inactivity. If Your Payment Account has a positive balance and You do not demonstrate Your willingness to continue using our Services, You will need to transfer the funds to an External Account held by You to enable Us the closure of Your Account, or where possible, the recorded funds will automatically be transferred to  your External Account. In the event that We are unable to pay You the funds, We will continue to administer your assets diligently, in return for which We reserve the right to deduct an administrative management fee of ten (10) euros per month. These administrative management fees will be limited to the positive balance available in Your Payment Account. Once the balance of Your Payment Account becomes zero, We reserve the right to close the Account and to terminate these Terms and Conditions permanently. Until You take the necessary steps to recover the funds recorded in Your Paymont Account, the Account will remain blocked and maintained solely for the purpose of transferring the amounts to the External Account You have registered, without prejudice to the administrative management fees charged by Us.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">6.2.<\/span>Termination of Terms and Conditions The Terms and Conditions are concluded for an indefinite period and are applicable once You have accepted them. You may terminate these Terms and Conditions at any time. We may also terminate these Terms and Conditions at any time by giving two (2) months' notice. Regardless of whether the termination is at Your or our initiative, it must be notified to the other party by available means, including but not limited to email notification. If you wish to terminate by email, termination at Your initiative may be sent through the Partner's customer service department or directly to Us at info@paymont.eu. You agree that Your termination request can be sent to Us by the Partner where applicable. If an investigation is ongoing at the time of the request to terminate Your Paymont Account, we may block Your Account as stated above. We may also terminate these Terms and Conditions by simple notification (including by email) without prior notice in all the cases of Your breach of these Terms and Conditions, including, but not limited to serious breaches under these Terms and Conditions; non-compliance with the eligibility conditions; refusal to provide the mandatory documents; fraudulent or unlawful use of our Services; serious suspicion of money laundering or terrorist financing; upon justified requests from our banking partners or card networks where the latter consider that Your use of our Services is contrary to their rules, or when You or any of Your Payment Operations is subject to restrictive measures or economic sanctions.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">6.3.<\/span>Consequence of the Notice of Termination In the event of notice of termination of these Terms and Conditions, You will no longer be able to use all of our Services and Your Account will be restricted to the operations necessary to transfer the funds recorded in Your Paymont Account into Your External Account. After the funds we hold in Your Paymont Account (if any) are transferred to Your External Account, your Account will be permanently closed and the termination of these Terms and Conditions fully effective.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">6.4.<\/span>Termination of Contract between Us and the Partner In case the contract We have entered into with the Partner for the integration of our Solution terminates, we will terminate these Terms and Conditions, by giving You two (2) months' notice. If the balance of Your Paymont Account is zero, the Account will be closed at the end of the notice period and these Terms and Conditions will be deemed terminated. If your Paymont Account has a positive balance, You will be asked to transfer the funds to an External Account held in Your name in order to close Your Paymont Account. If you do not transfer Your funds to an External Account held in Your name, We will continue to administer Your assets with due diligence and for the administrative management fee of ten (10) euros per month. These administrative management fees will be limited to the positive balance available in your Paymont Account. Once the balance of your Paymont Account becomes zero, We reserve the right to close the Account and to terminate these Terms and Conditions permanently. Until you take the necessary steps to transfer the funds recorded in Your Payment Account to an External Account held in Your name, the Account will remain blocked and maintained solely for the purpose of transferring the funds to the External Account You have registered, without prejudice to the administrative management fees charged by Us.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">6.5.<\/span>Termination of Contract between You and the Partner In case the contract You have entered into with the Partner for using the Platform terminates, the Partner shall inform Us about such termination and We will terminate these Terms and Conditions, by giving You two (2) months' notice.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">6.6.<\/span>Death of a Natural Person In the event of your death, We will cease to provide our Services. We will also restrict payments to the External Account held in Your name until we receive instructions from the beneficiaries or notary in charge of the estate. Your funds may only be remitted to Your legal successors when the documents allowing Us to verify their legitimacy and identity are provided.<\/div>\n  <h2 id=\"pmt-s7\"><span class=\"pmt-num\">7.<\/span>Limitations on Your Paymont Account<\/h2>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">7.1.<\/span>Withholding mechanism<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.1.1.<\/span>In case of Legitimate Ground, we reserve the right to defer the time at which we will pay the funds into Your External Account (the \u201cWithholding Mechanism\u201d).<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.1.2.<\/span>Except where mandated by law and\/or an authority, We will cease to apply the Withholding Mechanism as soon as there are reasonable grounds to consider that the risk(s) identified by Us (i) to Us, (ii) to the Partner, (iii) to any other user of the Platform and\/or (iv) to any other user of our Services have decreased or been managed in such a manner that the Withholding Mechanism is no longer deemed necessary.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.1.3.<\/span>You acknowledge and agree that We may set-off the amount withheld on Your Paymont Account under the Withholding Mechanism against any sums due by You to Us under these Terms and Conditions, including but not limited to Chargebacks.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">7.2.<\/span>Reserve<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.2.1.<\/span>We reserve the right to apply a Reserve on Your Paymont Account in case of Legitimate Ground. Before requiring a Reserve, We will consider various risk factors such as, but not limited to: Your transactional history, the amount and the number of refunds, disputes or Chargebacks linked to Your Account, the amount and\/or number of Transactions we process on Your behalf on the Platform, Your risk profile and funds You may owe to Us.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.2.2.<\/span>If we apply a Reserve on your Account, We will provide You with written notice specifying the terms of the Reserve.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.2.3.<\/span>Except where mandated by law and\/or an authority, the Reserve is released by Us as soon as there are reasonable grounds to consider the risk(s) identified by Us (i) to Us, (ii) to the Partner, (iii) to any other user of the Platform and\/or (iv) to any other user of our Services have decreased or been managed in such a manner that the Reserve is no longer deemed necessary.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.2.4.<\/span>You acknowledge and agree that We may set-off the amount of the Reserve against any sums due by You to Us under these Terms and Conditions.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.2.5.<\/span>The Withholding Mechanism and the Reserve can be used cumulatively.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">7.3.<\/span>Suspension and Blocking of the Paymont Account<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.3.1.<\/span>We may temporarily suspend use of Your Account and\/or our Services for technical, security or maintenance reasons, without these operations giving rise to any form of compensation. We will use our best efforts to limit these types of interruptions to what is strictly necessary.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.3.2.<\/span>In order to provide You with our Services, the applicable regulations concerning anti-money laundering and countering the financing of terrorism (AML\/CFT) require us to identify You and verify Your identity, as well as that of Your beneficial owner in the event that You are a legal entity. In some cases, We may also need to obtain information concerning a Payment Operation (such as its purpose, origin or destination) or the use of Your Account. As such, if We consider that the information available to Us is not sufficient, or if this information reveals any concerns regarding money laundering or terrorist financing, We may at any time suspend the use of Your Account and the provision of our Services, without prejudice to our entitlement to request the termination of these Terms and Conditions, if We believe that by continuing to provide You with our Services We will be unable to comply with our AML\/CFT obligations.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.3.3.<\/span>We inform You that the Services we provide to You may be subject to the exercise of the right of communication by the competent authorities, such as the national financial intelligence unit. No civil liability suit or action may be brought or any professional sanction imposed against Us, our directors or persons who have reported the suspicious activity to the national authority in good faith.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.3.4.<\/span>We may block your Paymont Account and suspend our Services for reasons relating to the security of the Account, on the presumption of unauthorized, unlawful or fraudulent use of the Account and\/or our Services, in the event of serious breaches under these Terms and Conditions, suspicions of money laundering or terrorist financing, asset freezing measures made against You, or at the justified request of our banking partners or card schemes where the latter consider that Your use of our Services is in breach with their rules. For any questions relating to the blocking of Your Account or the suspension of our Services, contact Us through the Partner's customer service department or directly at info@paymont.eu. We inform you that in some cases, We are prohibited by law from providing You with reasons for blocking Your Account or suspending our Services.<\/div>\n  <div class=\"pmt-clause lvl3\"><span class=\"pmt-cnum\">7.3.5.<\/span>We will unblock your Paymont Account and our Services when the reasons justifying the blocking no longer exist.<\/div>\n  <h2 id=\"pmt-s8\"><span class=\"pmt-num\">8.<\/span>Limitations of Liability<\/h2>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">8.1.<\/span>If applicable, You acknowledge that the Partner is fully responsible for any actions it takes on the Paymont Account under Your authorization. This means that if the Partner, upon Your authorization: \u2022 transmits payment order or payment instruction that You dispute or that was not in line with Your instructions given to the Partner, the Partner will be responsible for resolving that issue with You (including possibly reimbursing You if there was an error or unauthorized action on Partner\u00b4s part); \u2022 accesses or manages the Paymont Account in a manner that causes harm or loss to You, the Partner will bear liability for such harm or loss, subject to the terms of the agreement between You and the Partner; \u2022 fails to obtain or adhere to your consent (e.g., transmit payment order or payment instruction for a Transfer the You did not authorize or approve on the Partner\u00b4s Platform), the Partner is responsible for remedying the situation.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">8.2.<\/span>We shall under no circumstances be held liable (i) in the event of the Account blocking or suspension of our Services which occurs in the cases provided for in these Terms and Conditions, (ii) in the event of unavailability of the Platform or your Interface, (iii) in the event of unauthorized access to your Interface or a security breach of the Platform, (iv) in case of interruption or disruption to our software and computer systems used to provide the Solution and (v) in the event of non-performance or improper performance of the obligations arising from Your contract with the Platform. In all cases, our liability is limited to compensation for direct damages related to our breach of any of our obligations under these Terms and Conditions, except in cases where such a limitation is prohibited by applicable law.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">8.3.<\/span>Our liability is limited to the provision of our Services. We do not intervene in any legal or commercial relations, or in any disputes between You and the Partner or between you and any other user of the Platform. We do not exercise any control over the compliance or characteristics of the products and services for which We process a Transaction or a Transfer. We are extraneous to the contract between You and the Partner. As a result, we cannot be held liable for the non-performance or improper performance of the obligations resulting therefrom, nor for the fault, misconduct or negligence committed towards You. The Partner is solely responsible for the security of its Platform, and You must contact the Partner concerning any dispute relating to the use of its Platform.<\/div>\n  <h2 id=\"pmt-s9\"><span class=\"pmt-num\">9.<\/span>Complaints Handling<\/h2>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">9.1.<\/span>For any request related to the use of our Services, contact Us through the Partner's customer service department. For complaints related to our Services or Your Paymont Account, you can file Your complaint by sending an e-mail to info@paymont.eu or fraud@paymont.eu (if your complaint involves fraud or unauthorized payment transactions ) or sending the complaint by post to our address: Paymont UAB, \u0160eimyni\u0161ki\u0173 g. 19B-701, 09233 Vilnius, Lithuania.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">9.2.<\/span>You may submit your complaint within 3 months from the date on which You became aware, or ought to have become aware, of the violations of Your rights or legitimate interests.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">9.3.<\/span>In the complaint, please provide the following information: \u2022 Your name and\/or name of the company; \u2022 Your contact details; \u2022 the reasons for Your complaint including all relevant information regarding the complaint; \u2022 date on which the problem occurred; \u2022 reasons why do you believe we infringed Your rights and legitimate interests; and \u2022 Your request to us.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">9.4.<\/span>We will review your complaint and respond to You with a final resolution within 15 business days from the day following the day We received your complaint. In exceptional circumstances, for reasons beyond our control, when We are unable to resolve Your complaint within 15 business days, We will inform You via e-mail, indicating the date when You can expect the response, with the reason explaining why We are unable to resolve the complaint within 15 business days. In any case, Your complaint shall be resolved no later than 35 business days from the day following the day We received Your complaint.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">9.5.<\/span>If You are a consumer and You are not satisfied with our resolution of Your complaint, You have the right to complain to the Bank of Lithuania within 1 year from the date You have submitted your complaint to Us. The Bank of Lithuania acts as out-of-court dispute resolution authority dealing with disputes between consumers and financial service providers. You can apply to the Bank of Lithuania in the following ways: \u2022 via the electronic dispute settlement tool: E-Government Gateway \u2022 by filling out the consumer\u2019s application form (or preparing a written notice) and submitting it by post Totori\u0173 g. 4, LT-01121 Vilnius, Lithuania or email prieziura@lb.lt.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">9.6.<\/span>Please bear in mind, that in order for You to use Your right to complain to the Bank of Lithuania, You have to first submit a written complaint to Us.<\/div>\n  <h2 id=\"pmt-s10\"><span class=\"pmt-num\">10.<\/span>Data Protection<\/h2>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">10.1.<\/span>In connection with our provision of Services to You, We process your personal data (\"Data\"). In accordance with European Regulation (EU) 2016\/679 (\u201cGeneral Data Protection Regulation\u201d or \"GDPR\"), only Data strictly necessary for the fulfilment of the specified purposes described in Paymont\u2019s Privacy Notice for Customers is processed. For more information regarding the processing of your Data by Paymont, please consult our Privacy Notice for Customers at: <a href=\"https:\/\/www.paymont.eu\/lt\/privacy-notice\/\" target=\"_blank\" rel=\"noopener\">https:\/\/www.paymont.eu\/privacy-notice\/<\/a>.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">10.2.<\/span>By signing these Terms and Conditions, you: (i) declare that you have read our Privacy Notice for Customers; (ii) you agree to consult our Privacy Notice for Customers periodically as it may be adapted according to the changes to our personal data processing activities or to applicable regulations, with the latest version published on our website www.paymont.eu being the valid version; (iii) in the event that you act as legal representative of a legal entity, so that You provide Us with personal data relating to a third party, You undertake to communicate our Privacy Notice for Customers to such third party(ies).<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">10.3.<\/span>You agree that our professional secrecy regarding Your Data will be waived for the benefit of the service providers with which we subcontract operational functions relevant for the provision of our Services. Service providers with whom We will share data covered by professional secrecy provide Us with services related to fraud prevention, anti-money laundering and countering the financing of terrorism, as well as security of our technical infrastructure. The Data concerned are Your Identity Data as well as Data related to Transactions and Transfers carried out through the use of our Services. We may also share certain technical Data relating to the device You use (computer, telephone, etc.), Your IDs, Your IP address and information about Your interaction with our Partner's Platform for fraud prevention purposes. Our service providers are located within the European Union.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">10.4.<\/span>You agree that professional secrecy will be lifted for the benefit of the Platform you subscribed to and which uses our Services to allow payments related to your activities on the Platform. You authorize sharing information with the Platform you subscribed to so that the Platform can perform certain activities that are in Your interest, including helping You when You contact their customer service, supporting refund requests, or contributing to fraud investigations. The Data concerned are Your Identity Data as well as data related to Transactions and Transfers carried out through the use of Paymont Services. Paymont may also share other Data such as technical Data (e.g., User ID) or status of some of our processes. Such disclosure may take place for the duration of the contract between Us and the Partner and, following its termination, only to the extent necessary to complete ongoing processes, such as migrations. You may revoke Your consent at any time.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">10.5.<\/span>You acknowledge that certain Services require the processing and sharing of Data based on Your consent. If You revoke such consent, We may no longer be able to provide the affected Services, in whole or in part. The revocation of consent shall not affect the lawfulness of processing carried out prior to such revocation. We shall not be liable for any limitation, degradation, or suspension of Services resulting from the revocation of consent.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">10.6.<\/span>For any questions or requests relating to the processing of Your Data, You can contact Us at any time at compliance@paymont.eu.<\/div>\n  <h2 id=\"pmt-s11\"><span class=\"pmt-num\">11.<\/span>Final Provisions<\/h2>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">11.1.<\/span>These Terms and Conditions are subject to Lithuanian law, except where mandatory overriding provisions are intended to apply to the relationship that binds us.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">11.2.<\/span>If any one of the provisions of these Terms and Conditions is held to be null and void, it shall not invalidate any of the other provisions. If one or more provisions of these Terms and Conditions become obsolete or are declared as such pursuant to a law, regulation or following a final decision delivered by a competent court, the other provisions shall retain their binding force and scope.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">11.3.<\/span>In the event of a dispute between You and Us, You accept the exclusive jurisdiction of the Lithuanian courts. However, if You are a consumer, You may either refer the matter to the court of Your place of residence, or the court of the place of our registered office, in accordance with Regulation No. 1215\/2012 of 12 December 2012.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">11.4.<\/span>You may not transfer or assign Your rights and obligations under these Terms and Conditions to any third party.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">11.5.<\/span>You acknowledge that all information relating to Your use of our Services and held in our IT system in an unalterable, reliable and secure manner shall be deemed authentic until proven otherwise.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">11.6.<\/span>The fact that You or We do not avail ourselves of any provision set out in these Terms and Conditions at a given time does not constitute a waiver of a right and does not prevent the exercise of that right or any other right at a later date.<\/div>\n  <div class=\"pmt-clause\"><span class=\"pmt-cnum\">11.7.<\/span>These Terms and Conditions are concluded in English only and You agree that we will communicate with you in English. By using the Paymont Account You confirm that You have read, understood, and agree to these Terms and Conditions. You also acknowledge that they continue to be bound by our General Terms and Conditions.
